Pharma DS offers you the opportunity to enter data about your products and services or needs for products and services in its listings that will be made available to the public to facilitate the exchange of information and to create new business opportunities. Please take a few minutes to read the Terms and Conditions described below, before accepting or rejecting them.

Pharma DS offers quality services to the Pharmaceutical and related industries. Within the services that Pharma DS believes to be useful to the pharmaceutical and related industries is the publication of listings of products and services wanted or offered. In the listings that Pharma DS makes available to its Users and to the general public, information about products and services will be published to facilitate the creation of new business.

The publication of "good quality" (i.e. complete and up to date) information is a necessary condition for our services to be good value for our Users and for the general Public.

Pharma DS reserves the right to take measures to insure that good quality data are published in its listings, in its own and its Users interest. Also, the Users of Pharma DS's services are asked to comply with a number of rules to preserve the quality of the site. Pharma DS has no obligation to review submitted information in any way before those materials appear on Pharma DS's service. Although Pharma DS does not actively or regularly monitor the content of Pharma DS users' records, we reserve the right to monitor, and to investigate any complaints regarding any content of Pharma DS Users' records, and to take appropriate action if Pharma DS finds violations of these Terms of Service. Pharma DS is not responsible for the content of any Pharma DS user's record(s): Pharma DS does not verify, endorse, or vouch for the content of such record(s). Pharma DS is not responsible for the delivery or quality of any goods or services sold or advertised through or on Pharma DS user's record(s).

Pharma DS reserves the right to remove anything submitted to Pharma DS, and to cancel any User account, at any time for any reason without prior notice. Actions or activities that may cause termination of your User account and/or removal of your information include, but are not limited to:

• Sending unsolicited e-mail using a pxc.biz™ address
• Using in the registration to the your Pharma DS Users listing an e-mail account and/or address and/or billing information that is or becomes inactive or that is not your own.
• Posting untruthful information
• Neglecting to update information or removing outdated information about your products, activities, requests

Pharma DS provides listing systems so that you can store your information on the pxc.biz™ site and make it available to the general public.

You are solely and fully responsible for the content of your records on the pxc.biz™ site and may be held legally liable for such content. By submitting your information to Pharma DS, you represent that the information complies with Pharma DS's Terms of Service. If any third party brings a claim, lawsuit or other proceeding against Pharma DS based on your conduct or use of Pharma DS services, you agree to compensate Pharma DS (including its officers, directors, employees and agents) for any and all losses, liabilities, damages or expenses, including attorney's fees, incurred by Pharma DS in connection with any such claim, lawsuit or proceeding. In the case of any such complaint, Pharma DS reserves the right to remove the content complained of while the Pharma DS user and the complaining party attempt to resolve their dispute. This could result in your information being removed from pxc.biz™ site for as long as it takes to resolve the dispute. Pharma DS is not responsible for, and does not have any liability for any loss of data, profit, or business resulting from our deletion of any Pharma DS User's record(s).

In order to be able to verify your compliance to these Terms of Service, Pharma DS reserves the right to access your information at any time, without prior notice. You grant to Pharma DS and its affiliates a royalty-free, perpetual, irrevocable, nonexclusive, worldwide, unrestricted license to use, copy, transmit, distribute, and publicly display the submitted information for the purposes of (1) display on their sites and (2) promotion and marketing. Pharma DS disclaims ownership of hosted information and will not resell or otherwise convey these rights to any third party.

The information that you submit to Pharma DS remains your property, but by submitting that information to Pharma DS you grant Pharma DS the right to use that information for internal use. In addition, Pharma DS reserves the right to release current or past User information in the event Pharma DS believes that the User account is being or has been used in violation of the Terms of Service or to commit unlawful acts, if the information is subpoenaed, or when Pharma DS deems it necessary or appropriate.

Pharma DS users are responsible for keeping a current backup copy of their information. Your use of Pharma DS's services is at your sole risk.

All Pharma DS services are provided on an "AS IS" basis WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, CONSTRUCTIVE, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. Pharma DS makes no guarantee of availability of service and reserves the right to change, withdraw, suspend, or discontinue any functionality or feature of the Pharma DS service. IN NO EVENT WILL Pharma DS BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE Pharma DS'S SERVICES OR ANY CONTENT THEREON. THIS DISCLAIMER APPLIES, WITHOUT LIMITATION, TO ANY DAMAGES OR INJURY, WHETHER FOR BREACH OF CONTRACT, TORT, OR OTHERWISE, CAUSED BY ANY FAILURE OF PERFORMANCE; ERROR; OMISSION; INTERRUPTION; DELETION; DEFECT; DELAY IN OPERATION OR TRANSMISSION; COMPUTER VIRUS; FILE CORRUPTION; COMMUNICATION-LINE FAILURE; NETWORK OR SYSTEM OUTAGE; OR THEFT, DESTRUCTION, UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF ANY RECORD.

The Conditions of Use of the Pharma DS services are listed in the Conditions page and are part of this agreement. By registering as a User you signify your acceptance of the Conditions of Use.

The formation, construction and interpretation of this agreement shall be controlled by the laws of Switzerland, as such law applies to agreements between Swiss residents entered into and to be performed within Switzerland. The U.N. Convention of Contracts for the International Sale of Goods is expressly excluded from any interpretation of this Agreement. Any dispute relating to this agreement shall be subject to the exclusive jurisdiction of the courts in Switzerland, and the parties agree to submit to the personal and exclusive jurisdiction and venue of these courts.

Pharma DS reserves the right to change or amend these Terms of Service at any time without prior notice. By submitting data to Pharma DS, you signify your agreement to these Terms of Service. If you do not agree to these Terms, then please don't submit any data.
